Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Black Diamond Studios (“we”, “us”, “our”) governing your use of the MicroPDF website and services (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your country) to use the Service, and you must have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

The Service provides online tools to view, convert, edit, and otherwise process documents and images. Most tools run in your browser; some are processed on our servers, as described in our Privacy Policy. The Service is provided free of charge and is supported by advertising. We may add, change, suspend, or discontinue any part of the Service at any time.

3. Your files and content

You retain all rights to the files and content you process (“Your Content”). We do not claim ownership of Your Content. You grant us only the limited, temporary license needed to process Your Content in order to provide the tool you requested; for server-side tools, this means transmitting and processing the file and then deleting it, as described in the Privacy Policy.

You are solely responsible for Your Content. You represent and warrant that you own or have the necessary rights to use and process it, and that doing so does not violate any law or third-party right.

4. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or to process content that is illegal, infringing, or that you have no right to process;
• upload malware or attempt to disrupt, damage, overload, or gain unauthorized access to the Service or its infrastructure;
• reverse-engineer, scrape, resell, or build a competing product from the Service except as permitted by law;
• use automated means to abuse the free server-side tools in a way that degrades the Service for others;
• interfere with, block, or attempt to circumvent advertising or security features of the Service.

5. Accounts and paid plans

The Service currently does not require an account. If we introduce accounts, subscriptions, or other paid features, additional terms (including pricing, billing, renewal, and cancellation terms) will apply and will be presented to you before you purchase. Where paid plans exist, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law.

6. Advertising and third-party services

The Service displays advertising and may link to or rely on third-party services (including advertising and analytics partners). Those third parties are governed by their own terms and privacy policies, and we are not responsible for their content, products, or practices. Your dealings with third parties are solely between you and them.

7. Intellectual property

The Service, including its software, design, text, and the “MicroPDF” and Black Diamond Studios names and logos, is owned by us or our licensors and protected by intellectual-property laws. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.

8. Feedback

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation or compensation to you.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Document conversion and processing are inherently imperfect and results may vary; you are responsible for keeping your own copies of important files and for verifying results before relying on them.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLACK DIAMOND STUDIOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Black Diamond Studios from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive termination (such as sections 3, 7–11) will survive.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the current version, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. You agree to resolve disputes in the courts located there, unless a mandatory law in your country of residence provides otherwise.

15. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Service.
